The Collaboration Contract

The Vereniging Associatie Jeugdzorg (Youth Care Association), ASAP Netherlands and NVZD (Netherlands Association of Hospital Directors) have organized four sessions titled: Future-Proof Collaboration Strategies.

The sessions present a practical framework for the concrete construction and determination of alliances. Participants will be asked to share their knowledge and experiences in the area of collaboration and management of collaboration relationships. The following questions are at the heart of the discussion:

  1. Strategic anchoring of “alliance thinking and doing” in organizations/institutions Legitimizing and eventually deciding to collaborate, depend on the    strategic goals of organizations/institutions. How is such a decision made?
  2. What structure/form is given to the collaboration?
  3. Which skills and competencies are required for organizations to make sure their (strategic) collaborations are successful?

 On November 27, 2008, the session is titled The Collaboration Contract.

If the objective of the collaboration is clear, it is time to spend time thinking about the collaboration form. How much should be legally recorded? Time, complexity and uncertainty about the results of the collaboration are the strongest determining factors. For a simple goal that can be easily achieved, a limited number of agreements will suffice. For a collaboration that will last longer and for which various people and expertise are required, detailed agreements are required, such as the form of the agreements and perhaps a separate organizational structure.  The most extensive form of collaboration is the one where the collaborative relationship becomes an independent legal entity.

 Subjects to be discussed are:

  • Protection of mutually attained results
  • Exclusivity and openness
  • Liability and risks
